Business Formation & Commercial Transactions
We provide a broad array of services to existing businesses and
start-ups of all sizes, with particular emphasis in real estate
development and investment ventures, contractors, medical practice
groups, individual investors, and private lenders. Beyond simple
corporate and LLC formation and maintenance, we have extensive
experience in the creation of complex operating agreements, shareholders
agreements, buy-sell agreements, employment agreements, independent
contractor agreements, dissolutions and the purchase and sale of
existing businesses and business assets.
General Counsel
We provide general counsel to a wide variety of small and
medium sized businesses on general contract matters, vendor relations,
creditor relations, employment issues, governmental relations, investor
relations, franchising, general real estate, leasing and other matters.
Litigation
We do not provide litigation services, but maintain a carefully
culled list of referral sources (both local and Phoenix-based) for those
instances when a client has no option but to engage litigation counsel.
We have served as advisory counsel over the years in litigation and
arbitration matters, and that experience has only bolstered our
commitment to assist clients involved in disputes to find creative
solutions to problems short of litigation. It has also reinforced
our belief that one of the best means of staying out of litigation is
the relatively modest investment in adequate documentation of business
relationships and of the means of dealing with unanticipated events and
disputes that may arise within those relationships.
